Company: Shipo LLC (“Shipo,” “we,” “us,” or “our”), 310 Cornell Dr, Suite B4, Wilmington, DE 19801.
These Terms of Service govern your access to and use of the shipousa.com website (the “Site”). They are not a services contract. Any fulfillment, warehousing, prep, or logistics services Shipo provides are governed exclusively by a separately signed Client Services Agreement. If there is any conflict between these Terms and a signed Client Services Agreement, the signed agreement controls as to the services.
1. Acceptance and eligibility
By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site. You must be at least 18 years old and, if you are acting for a company, you represent that you are authorized to bind that company.
2. The Site is informational
Content on the Site — including service descriptions, delivery-time estimates, coverage claims, calculators, blog posts, and guides — is provided for general informational purposes. It does not constitute a binding offer, a guarantee of results, or professional (legal, tax, customs, or financial) advice. A binding relationship with Shipo exists only under a separately signed Client Services Agreement.
3. No guarantees on estimates
Any transit times, delivery-speed claims (for example, “1–2 day East Coast delivery”), coverage percentages, or cost statements on the Site are estimates based on typical conditions and may vary by carrier, destination, product, order timing, and other factors. They are not promises or warranties.
Coverage percentages published on the Site are Shipo’s own internal ground transit-band estimates from our Delaware facility. They are not carrier time-in-transit data and are not guaranteed by any carrier.
4. Quotes, rates, and calculators
Any rate, price, or figure produced by a calculator or shown on the Site is an estimate only. Rates are quoted in writing, are valid only for the period stated in the quote, and are subject to change — including for carrier rate changes, fuel and accessorial surcharges, dimensional-weight reweighs, and inaccurate product data supplied to us. No quote is binding until it is incorporated into a signed Client Services Agreement.
5. Service scope and limits
Not all products are eligible for our services. Acceptance of any product is subject to inspection, capacity, and our written approval. Without limiting that:
- FDA registration. Shipo LLC is a U.S. FDA-registered food facility (Reg. No. 15630823908). Registration is not an FDA license, certification, endorsement, or approval — FDA does not license or certify food facilities. The registration covers food, beverage, and dietary supplement products only. It does not cover drugs, medical devices, or any other regulated category.
- Regulated and restricted goods. Hazardous materials, aerosols, flammables, corrosives, lithium batteries, alcohol, cannabis or hemp-derived products, firearms and ammunition, live goods, temperature-controlled goods, and human or animal specimens are accepted only where we have confirmed in writing that we can handle that specific product and class.
- High-value goods. Goods above the value threshold stated in your signed agreement require prior written approval and may require additional insurance arranged by you.
- Facility hours. Our facility operates Monday to Friday, 9:00 AM to 5:00 PM Eastern. We do not ship or receive on weekends or on posted holidays. Same-day shipping applies to orders received before our posted cutoff and is subject to stock, carrier pickup, and capacity.
6. Acceptable use
You agree not to: use the Site unlawfully; attempt to gain unauthorized access to the Site or any related system; interfere with the Site’s operation or security; introduce malware; scrape, harvest, or bulk-download data except as expressly permitted; use automated systems to submit forms; impersonate any person; or submit false, misleading, or another person’s information through our forms.
7. Forms, submissions, and contact consent
When you submit a form or otherwise contact us, you confirm that the information you provide is accurate and that you consent to be contacted by email, telephone, or text message at the details you supply, in connection with your enquiry. You can opt out at any time by replying to any message or writing to Support@shipousa.com. Standard message and data rates may apply. Do not submit confidential, sensitive personal, health, or payment card information through our web forms.
8. Intellectual property
The Site and its content, layout, logos, and trademarks are owned by Shipo LLC or its licensors and are protected by law. You may not copy, republish, frame, or create derivative works without our written permission, except for normal personal or internal business viewing. All other names and marks appearing on the Site are the property of their respective owners and are used for identification only; their appearance does not imply endorsement or affiliation.
9. Feedback
If you send us ideas, suggestions, or feedback about the Site or our services, you grant us a perpetual, worldwide, royalty-free right to use them without restriction or compensation. Do not send us anything you consider confidential.
10. Third-party links and services
The Site may link to or integrate with third-party websites and platforms. We do not control and are not responsible for their content, availability, security, or practices, and a link is not an endorsement. Your use of a third-party service is governed by that provider’s terms.
11. Carriers
Shipping and delivery are performed by independent third-party carriers under their own tariffs, terms, and liability limits. Shipo is not a carrier and does not control carrier performance, transit times, delivery exceptions, loss, or damage in transit. Claims against carriers are subject to those carriers’ own filing deadlines and liability caps.
12. Privacy
Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.
13. Disclaimers
THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY CONTENT, ESTIMATE, OR CALCULATION ON IT IS ACCURATE, COMPLETE, OR CURRENT.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHIPO LLC WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM YOUR USE OF THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US100 DOLLARS). Nothing in these Terms limits liability that cannot be limited under applicable law. This section applies to the Site only; liability relating to services is governed by the signed Client Services Agreement.
15. Indemnification
You agree to indemnify, defend, and hold harmless Shipo LLC and its officers, members, employees, and agents from and against any claims, damages, losses, and reasonable legal fees arising out of your misuse of the Site, your violation of these Terms, or your violation of any law or third-party right.
16. Governing law and venue
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. Any dispute arising from these Terms or your use of the Site will be resolved exclusively in the state or federal courts located in Delaware, and you consent to their personal jurisdiction and waive any objection to venue.
17. General
If any provision of these Terms is held unenforceable, the rest remains in force and the unenforceable provision will be limited to the minimum extent necessary. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy, are the entire agreement between you and Shipo regarding the Site, and supersede all prior terms published on the Site, including any page previously titled “Terms of Use” or “Terms and Conditions.”
18. Changes
We may update these Terms at any time and will revise the “Effective date” above. Continued use of the Site after a change means you accept the updated Terms.
